YOU ACKNOWLEDGE AND AGREE THAT THERE ARE RISKS ASSOCIATED WITH USING AN INTERNET-BASED MARKETPLACE AND INTERACTING WITH OTHER USERS IN PERSON, AS OUTLINED IN SECTION 17.
BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.
We may provide additional terms for third-party services, payment processors, or shipping providers. Those terms are incorporated into your agreement with us and will take precedence in case of conflict.
These Terms may be updated periodically. Updates will be communicated via email, website notifications, or page updates. Your continued use of our Services constitutes acceptance of any changes.

1. Parties to this Agreement and Consideration
You (“User”) and Urbanixo (“Company,” “we,” “our,” or “us”) are parties to this Agreement.

1.2. We grant you a limited, non-transferable license to access and use our Website.
1.3. We may modify these Terms at any time. Changes will be posted or emailed.
1.4. You may not modify these Terms. Any such attempt is void.
1.5. Bookmarking a page to bypass these Terms still binds you to them and affirms that you are 18+ or of legal age in your jurisdiction.

3. The Urbanixo Services
3.1 Posting Items
You may list bikes or accessories by uploading photos and descriptions free of charge.
3.2 Buying and Selling
Urbanixo facilitates user transactions via our Urbanixo Payment Solution. We are not a party to those transactions, except under our Buyer Protection policy.
3.3 Payment Accounts
Use of Urbanixo Payments requires registration and agreement with our Payment Provider (currently Adyen). Delays may occur due to user verification or compliance checks.
3.4 Taxes
You are responsible for taxes on your transactions. Urbanixo may collect sales tax where legally required. We may also request tax documentation when thresholds are met.
3.5 Shipping
Sellers can offer nationwide shipping. Sellers must follow our Shipping Policies. Urbanixo is not responsible for delays or damage during transit. Illegal or restricted item shipments are prohibited.
4. User Code of Conduct
You may not:

Harass or intimidate users

Circumvent the platform for off-site transactions

Misrepresent yourself or impersonate others

Use cryptocurrency or gift cards for payment

Copy or reverse-engineer our technology

Use bots, scripts, or unauthorized tools

Create multiple accounts or transfer accounts
Violation may result in account suspension or termination.
5–6. Information Collection & Use
We collect both Personal Information (name, address, contact, payment info) and Anonymous Information (browser type, IP, pages visited). This data is used for:

By providing information, you consent to its use by Urbanixo. Deleted info may still appear in third-party cached results (e.g., Google).
7. Accounts & Security
You are responsible for your login details. Notify us if your account is compromised. We are not liable for unauthorized use.
8. Content Ownership
You retain ownership of your submitted content but grant us a license to use it for delivering our services and completing transactions.
9. Reporting Abuse
Please report offensive content to help@urbanixo.com. We may remove content or restrict access but are not liable for unmonitored content.
10–12. Limitations, Posting Agents & Spam

Third-party posting services are not allowed without permission.

Spamming users through or outside the platform is strictly prohibited.
13–14. Intellectual Property
All content is owned by Urbanixo or our licensors. You may not reuse or distribute our trademarks, logos, or proprietary assets without written permission.
If your IP is infringed, report it to help@urbanixo.com with evidence. We comply with DMCA guidelines.
15–16. Limitations & Warranties
We are not responsible for:

All services are provided “as is” and “as available.”
17. Assumption of Risk
A. Interactions with unknown users involve risk. We do not conduct background checks.
B. “Community Meetup Spots” are optional and used at your own risk.
18. Limitation of Liability
We are not liable for indirect or incidental damages. Total liability is limited to $100 or the amount you paid in the past 12 months.
19. Buyer Protection
Urbanixo enforces claims against sellers in cases of:

Poor performance

Delivery failures

Defects within 48 hours
Returns require pre-approval and must follow our inspection process. Buyer Protection is void after 48 hours.
20–22. Release, Data Processing & Indemnity
You release Urbanixo from third-party disputes.
By using our Services, you consent to data processing in the U.S. or other jurisdictions.
You agree to indemnify us against claims from your use, content, or misconduct.
23. Dispute Resolution & Arbitration
Disputes must be settled individually. No class actions.
Arbitration is mandatory (except for small claims or IP). Administered by JAMS, held in King County, WA, or remotely.
You may opt out within 30 days by emailing support@urbanixo.com.
Claims must be filed within 1 year.
24–26. Ownership, Termination & Suspension
All content is owned by Urbanixo.
We may suspend or terminate accounts at any time. Unauthorized access is strictly prohibited.
27–28. Force Majeure & Relationship
We are not liable for events beyond our control.
These Terms do not establish a partnership, employment, or joint venture.
29–31. Security, Privacy & Policy Linkage
We follow reasonable security practices.
Use of our Services confirms your agreement with our Privacy Policy.
We may share info with law enforcement when legally required.
32–33. Transfer & Corporate Transactions
These Terms apply to future changes. In case of sale, merger, or bankruptcy, user data may be transferred. Use of Services confirms your consent.
34. Contributions & Feedback
Any suggestions or feedback submitted to Urbanixo are non-confidential and may be used freely without compensation.
35. Entire Agreement
These Terms, along with posted policies (e.g., Privacy, Shipping, Buyer Protection), are the full agreement between you and Urbanixo and override all prior agreements.
